SOCi, the CoMarketing Cloud for Multi-Location Enterprises, is currently seeking a highly motivated and disciplined Contracts Manager to join our dynamic legal team. This role is pivotal in ensuring the integrity and efficiency of our contract management processes, demanding not only exceptional legal acumen but also a strong work ethic and a commitment to collaborative problem-solving. As a key player in our legal department, you will oversee the administration of our contract lifecycle management (CLM) system, focusing on robust negotiation and independent decision-making while also collaborating effectively with our team.

How You’ll Make an Impact

  • Manage and negotiate a variety of contracts, including both inbound and outbound agreements, ensuring compliance and alignment with business objectives.
  • Conduct internal consultations with sales teams, providing expert advice and guidance on contract-related inquiries.
  • Lead the legal aspect in preparing and responding to enterprise and regulated industries' RFPs (Request for Proposals) and RFIs (Request for Information).
  • Develop and manage comprehensive contract playbooks, standardizing negotiation processes and contract terms.
  • Administer our contract lifecycle management (CLM) system, facilitating contract drafting, negotiation, archiving, categorization, research, and documentation.
  • Independently initiate and manage workflows through various stages, providing updates to stakeholders.
  • Serve as the primary point of contact for internal teams regarding contract inquiries and CLM system guidance.
  • Draft and process various types of agreements, including statements of work, consulting services agreements, and non-disclosure agreements.
  • Review and analyze contracts for ongoing compliance and exit readiness.
  • Coordinate with internal procurement and legal teams as required.
  • Ensure rigorous vetting of contractual obligations and risks, leveraging deep legal expertise to safeguard company interests.
  • Champion a culture of high performance and continuous improvement within the legal team, contributing to training and development initiatives.
  • Actively participate in and contribute to legal support channels, including office hours, Slack channels, and team meetings, providing first-line legal advice on contract matters.
  • Maintain high standards in a high-pressure, high-volume environment.

What You’ll Need to be Successful

  • Strong experience in contract negotiation and management.
  • Familiarity with CLM systems and the contracting process.
  • Experience in managing ongoing contractual compliance obligations.
  • Expertise in drafting/negotiating legal transactional documents (NDAs, SaaS agreements, TOS, SOWs, consulting agreements, inbound vendor contracts).
  • Strong legal or business background preferred, with a demonstrated ability to apply legal principles in a business context.
  • Proficiency in CLM (IronClad), MS Office Word, Google Suite (Google Docs, Sheets, Slides, Gmail), Salesforce, and Slack.
  • Exceptional attention to detail, time management skills, and the ability to manage multiple projects.
  • Capability to work independently as a self-starter while also thriving in team collaborations.
  • Eagerness to engage with team members across various disciplines.
  • Demonstrated ability to draft complex agreements such as vendor agreements, sales agreements, NDAs, and partnership agreements with precision and clarity.
  • Proven track record of high work ethic, with examples of going above and beyond in previous roles.
  • Strong evidence of commitment to collaborative work environments, with testimonials or references.
  • Willingness to engage in continuous learning and adapt to evolving business needs and legal landscapes.

Must Have

  • 5-6 years of relevant contracts management and negotiation experience, ideally in a SaaS or high-growth software company.
  • B.A. or B.S. degree.
  • Experience in supporting legal inquiries through various channels such as office hours, legal support Slack channels, deal operations, sales operations, and procurement.
  • Demonstrated capability to manage high-pressure situations and high-volume workloads with composure and efficiency.
